Management Division may either (i) accept the recommendation(s) of

the Contractor, or (ii) require any coverages that the Risk Management

Division determines are necessary to protect the County's interests.

Contractor shall require the proper licensing of each of its

subcontractors and shall provide the insurance coverage’s as finally

determined in the sole discretion of the Risk Management Division.

20.5.5 If any of the Services outlined in this System Agreement are furnished

by Contractor by obtaining the Services of subcontractors, Contractor

shall provide County with proposals and contracts between the

subcontractors and Contractor outlining the Services to be performed

and the charges for same, together with any other documentation

required by County.

20.6 Contractor Certification. The Contractor hereby certifies that the System

Agreement is made in good faith, and without fraud, collusion of any kind with

any other contractor for the same work, and that the Contractor is acting solely

on its own behalf without connection with, or obligation to, any undisclosed

person or firm.

20.7 Representative of County and Contractor - Project Managers.

20.7.1 The parties recognize that questions in the day-to-day conduct of the

project will arise. The Contract Administrator, upon Contractor's

request, shall advise Contractor in writing of County's Project Manager

to whom all matters pertaining to the day-to-day conduct of the project

shall be addressed.

20.7.2 Contractor shall inform the Contract Administrator in writing of

Contractor's Project Manager to whom all matters pertaining to the

day-to-day conduct of the project shall be addressed.

20.8 No Conflicts.

20.8.1 The employees and officers of Contractor, its subcontractors, and the

subsidiaries of Contractor and its subcontractors shall not, during the

term of the System Agreement, serve as an expert witness against

County in any legal or administrative proceeding in which he or she or

Contractor is not a party, unless compelled by court process. Further,

Contractor agrees that such persons shall not give sworn testimony or

issue a report or writing, as an expression of his or her expert opinion,

which is adverse or prejudicial to the interests of County or in

connection with any such pending or threatened legal or administrative

proceeding. The limitations of this section shall not preclude such

persons from representing themselves in any action or in any

administrative or legal proceeding.
